Terms of Service

1. Definitions
1.1. Company refers to Wellpin OÜ, a company registered in Estonia.
1.2. User means any natural person or legal entity who registers for or uses the Services.
1.3. Services means the scheduling, booking, and related functionalities provided through the Wellpin platform, including paid events, meetings, and subscription-based features.
1.4. Content refers to any data, text, images, or materials submitted, uploaded, or shared by Users via the Services.
1.5. Third-Party Services means any services or applications not provided by the Company but integrated or linked within the Services.
2. Scope of Services
The Company provides an online platform enabling Users to schedule and manage meetings, events, and related activities. Services may include both free and paid features, accessible through the Company’s website or application. The Company reserves the right to modify, suspend, or discontinue Services at any time, subject to Section 13.
3. User Eligibility
3.1. Users must be at least 18 years old or possess full legal capacity under applicable law.
3.2. By registering, Users confirm compliance with applicable laws and eligibility requirements.
3.3. Access by minors or ineligible Users is strictly prohibited.
4. Account Registration and Responsibilities
4.1. Users must provide accurate, current, and complete information during registration.
4.2. Users are responsible for maintaining the confidentiality of login credentials and for all activity under their accounts.
4.3. Users must promptly notify the Company of any unauthorized use of their account.
5. Acceptable Use
5.1. Users shall not use Services to:
- Violate applicable laws or regulations;
- Infringe intellectual property or privacy rights of others;
- Transmit harmful, fraudulent, or malicious content;
- Interfere with or disrupt Services.
5.2. Violation may result in suspension or termination under Section 15.
6. Fees and Payments
6.1. Certain Services are fee-based. Payment obligations are specified at the point of purchase.
6.2. All fees are in Euros (€) unless otherwise stated.
6.3. Users authorize the Company to charge applicable fees through the chosen payment method.
6.4. Subscription payments are recurring and continue until cancelled via support (see Section 10).
7. Taxes
All fees are exclusive of taxes. Where applicable, Value Added Tax (VAT) will be added in accordance with EU and Estonian law.
8. Intellectual Property Rights
8.1. The Company retains all rights, title, and interest in the Services, including software, designs, logos, and Content created by the Company.
8.2. Users retain ownership of their own Content but grant the Company a worldwide, royalty-free, non-exclusive license to use, display, and distribute such Content as necessary to provide the Services.
9. License Grant and Restrictions
9.1. Users are granted a limited, non-exclusive, non-transferable license to access and use the Services for personal or business purposes.
9.2. Users may not:
- Reverse engineer or attempt to derive source code;
- Use the Services for unauthorized commercial purposes;
- Remove any proprietary notices.
10. Third-Party Services Disclaimer
10.1. The Services may include integrations with Third-Party Services.
10.2. The Company does not guarantee the availability, accuracy, or legality of Third-Party Services and is not liable for any loss arising from their use.
11. Data Protection and Privacy
11.1. Personal data is processed in accordance with the Company’s Privacy Policy, which is incorporated herein by reference.
11.2. The Company complies with GDPR, ePrivacy Directive, and applicable Estonian data protection laws.
12. Confidentiality
Users must not disclose confidential information received from the Company or other Users except as required by law or with consent.
13. Service Availability and Modifications
13.1. The Company aims to provide uninterrupted access but does not guarantee continuous availability.
13.2. The Company may modify Services, including features, pricing, and technical specifications, with prior notice where legally required.
14. Warranties Disclaimer
14.1. Services are provided “as is” and “as available.”
14.2. The Company disclaims all warranties to the extent permitted under EU law, except as expressly provided or where such exclusion is prohibited (e.g., gross negligence or willful misconduct).
15. Limitation of Liability
15.1. To the maximum extent permitted by EU law, the Company’s liability is limited to direct damages caused by gross negligence or willful misconduct.
15.2. The Company shall not be liable for indirect, incidental, or consequential damages, loss of profits, or data, except where mandatory law prohibits such limitation.
16. Indemnification
Users agree to indemnify, defend, and hold harmless the Company, its officers, and affiliates against claims arising from Users’ misuse of the Services or violation of these Terms.
17. Suspension and Termination
17.1. The Company may suspend or terminate a User’s access for violation of these Terms or applicable law.
17.2. Users may terminate their accounts at any time by following the account deletion process or contacting support.
18. Cancellation & Refund Policy
18.1. All cancellations or refund requests for
paid bookings or
events must be addressed
directly with the organizer of the event. The Company does not process cancellations or refunds on behalf of organizers. Notwithstanding the foregoing, EU consumer rights remain applicable to Users who are consumers, and any such Users may assert their legal rights directly against the organizer in accordance with applicable law.
18.2.
SaaS Subscriptions: Subscription fees are non-refundable via the platform. Refunds may only be requested by contacting Customer Support via
support@wellpin.io. Cancellation does not automatically trigger a refund.
19. Governing Law
These Terms are governed by the laws of Estonia, without regard to conflict of law provisions.
20. Dispute Resolution
20.1. For B2C Users, statutory EU consumer protection rights apply.
20.2. Parties shall attempt to resolve disputes amicably before pursuing legal action.
20.3. Competent courts in Estonia shall have exclusive jurisdiction, except where mandatory consumer law grants otherwise.
21. Severability
If any provision is found invalid or unenforceable, the remaining provisions remain effective.
22. Entire Agreement
These Terms, together with the Privacy Policy and any additional agreements referenced herein, constitute the entire agreement between Users and the Company regarding the Services.
23. Amendments
The Company may update these Terms. Changes will be notified to Users via the platform or email. Continued use constitutes acceptance of the amended Terms.
